1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the Memendo mobile application and website at memendo.co (collectively, the "Service"), operated by Memendo ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 16 years old to use Memendo. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you confirm that you have the consent of a parent or legal guardian.

3. Your Account

To use certain features of Memendo, you must create an account using your email address or through Google or Apple sign-in. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

4. The Service

Memendo is a notes and task management application that allows you to create, organize, and sync your notes, tasks, and ideas across devices. Features include:

• Rich document editing (text, images, checklists, tables, code blocks)
• Task management with deadlines and calendar view
• AI-powered assistant for note enhancement and summarization
• Cloud sync across devices
• Category-based organization
• Search functionality

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable.

5. Plans & Subscriptions

5.1 Free Plan

The free plan includes:

• Unlimited notes
• Up to 100 tasks
• Up to 5 categories
• Basic features

5.2 Pro Plan

The Pro plan is available as a monthly or annual subscription and includes unlimited tasks, unlimited categories, and advanced AI features. Pricing is displayed in the app and may vary by region.

5.3 Billing

• Subscriptions are billed through the Apple App Store or Google Play Store
• Your subscription automatically renews unless cancelled at least 24 hours before the end of the current period
• You can manage and cancel your subscription through your App Store or Google Play settings
• Refunds are handled according to Apple's or Google's refund policies

5.4 Price Changes

We may change subscription pricing from time to time. Price changes will take effect at the start of the next subscription period following the date of the price change. We will provide you with reasonable notice of any pricing changes.

6. Your Content

6.1 Ownership

You retain full ownership of all content you create, upload, or store in Memendo ("Your Content"). We do not claim any ownership rights over Your Content.

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive license to host, store, transfer, and display Your Content solely for the purpose of providing and improving the Service. This license ends when you delete Your Content or your account.

6.3 AI Processing

When you use the AI Assistant, you authorize us to send Your Content to our AI service provider for processing. We do not use Your Content to train AI models. You are responsible for reviewing AI-generated output before relying on it.

6.4 Prohibited Content

You agree not to use Memendo to store or distribute content that:

• Violates any law or regulation
• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is used for illegal activities, harassment, or abuse

7. Acceptable Use

When using Memendo, you agree not to:

• Reverse-engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service to send spam or unsolicited communications
• Interfere with or disrupt the Service or servers
• Use automated tools (bots, scrapers) to access the Service
• Impersonate any person or entity
• Use the Service in any way that violates applicable laws

8. Intellectual Property

The Service, including its design, logos, features, and code, is owned by Memendo and protected by intellectual property laws. "Memendo" and our logo are our trademarks. You may not use our branding without prior written permission.

These Terms do not grant you any right to use our trademarks, logos, domain names, or other brand features.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Any data loss will not occur (you are responsible for maintaining backups of important content)
• AI Assistant output will be accurate, complete, or reliable
• The Service will meet all of your requirements

10. Limitation of Liability

To the maximum extent permitted by law, Memendo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from or relating to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or 100 EUR, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Memendo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if:

• You violate these Terms
• Your use poses a security risk or may harm other users
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases. We will make your data available for export for a reasonable period (at least 30 days) before permanent deletion, unless prohibited by law.

13. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Austria, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the competent courts of Austria.

For EU residents: You may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we will provide additional notice through the app or via email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

15. General Provisions

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Memendo regarding the Service.
• No waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms. We may assign our rights to a successor in interest.
